Mentoring Agreement

1. Overview
The website www.vietmentorabroad.com and associated services form an online platform designed to connect users (mentees) with mentors registered on Viet Mentor Abroad. By accessing or using the Platform, you agree to the terms and conditions outlined in this Mentoring Agreement.
You understand and acknowledge that Viet Mentor Abroad is not a party to any agreement between users and mentors. Viet Mentor Abroad does not control or supervise the conduct of mentors, mentees, or any other users, and disclaims all liability in this regard.
By accessing or using the Platform, creating a Viet Mentor Abroad account, or posting content on the site, you confirm that you have read, understood, and agreed to be bound by this Mentoring Agreement. If you do not agree, you may not access or use the Platform.
If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity, and "you" will refer to that entity.
2. Platform Functionality
The Platform facilitates mentorship through communication tools such as messaging, booking, and document sharing. Mentors are independent parties offering services and are not employees, contractors, or agents of Viet Mentor Abroad.
As a Mentor, you are acting independently. This Agreement does not create an employment, partnership, or agency relationship. You have no authority to bind Viet Mentor Abroad contractually or otherwise. You are responsible for complying with all laws and regulations applicable to your mentoring services and are not entitled to any employee benefits from Viet Mentor Abroad
5. Disclaimer of Liability
Viet Mentor Abroad is a facilitation platform and does not control the mentorship services provided by mentors. As such, we do not assume responsibility for the outcome of mentoring sessions or interactions. All engagements whether virtual or in person are at the sole discretion and risk of the involved parties.
6. Account Registration and Eligibility
To register as a Mentor and receive payment for sessions, you must:
- Be 18 years of age or older, or have written consent from a legal guardian.
- Create an account with accurate personal and professional information.
- Keep your profile and account details updated.
- Authorize Viet Mentor Abroad (or third-party services) to verify your identity or information as necessary.
You are responsible for safeguarding your account credentials. You agree not to share your account or password and acknowledge that all activities under your account are your responsibility. You must notify Viet Mentor Abroad immediately of any unauthorized account use.
You agree not to:
- Allow unregistered users to access Mentor-only areas of the site.
- Permit anyone else to conduct mentoring sessions on your behalf.
7. Privacy
Please refer to the Viet Mentor Abroad Privacy Policy for details on how we collect, store, and use your personal information.
8. Payments
Viet Mentor Abroad charges a fee for every transaction made through the platform. The platform fee is dynamic, currently at a net rate of 16%, but subject to change. You can read more about the fee structure here.
- When possible, you will be opted into the Stripe Connect payment system, in which Stripe's own Terms and Conditions will apply.
- Payment will be calculated by completed transactions regarding Stripe's transaction history that have been done by users assigned to you or be processed by Stripe directly.
- Payment due to you will be made latest by the 15th of every month, after deducting an internally calculated percentage of the amount as Platform Fees and an additional percentage between 2% and 6% for Payment Processing Fees (see your Payment Processor for more Information).
- Payment shall be transferred through Stripe.
- Platform fees may change with notice and are not applicable during promotional campaigns.
9. Refunds
Mentees may request a refund from you under specific circumstances. As a Mentor on Viet Mentor Abroad, you acknowledge and agree to the following refund policy:
Refunds may be issued in the following cases:
- Unresponsiveness:
- If you have been unresponsive for more than one week without prior notice.
- The mentee must have made active efforts to engage (at least two follow-up messages in the weeks prior).
- If both parties were unresponsive, refunds are at your discretion.
- Mutual Agreement:
- You agree to issue a refund and provide written confirmation.
- The mentee must attach proof and your agreement when submitting the request.
- Misconduct or Harassment:
- In cases of serious misconduct, breach of trust, or harassment.
- Mentees are encouraged to attach relevant proof and may also contact platform support for assistance.
- Failure to Deliver Agreed Services:
- You did not provide any of the services promised in your mentorship offer.
- The mentee must demonstrate active effort to schedule or engage (at least two follow-ups within the past month).
10. Representations and Warranties
By registering as a Mentor, you represent and warrant that:
- You will provide mentorship aligned with the values and standards of Viet Mentor Abroad.
- All credentials, qualifications, and employment details listed on your profile are truthful and accurate.
- You will maintain professionalism and offer honest, constructive, and ethical guidance to mentees.
11. Termination and Suspension
Viet Mentor Abroad reserves the right to suspend or terminate your account if you breach this agreement, violate laws, or act in a way that harms the Platform or its users. You may also terminate your account at any time by notifying us.
12. Limitation of Liability
To the fullest extent permitted by law, Viet Mentor Abroad disclaims any liability for damages arising out of or related to your use of the Platform. We do not guarantee results or outcomes from any mentorship session.
13. Governing Law
This agreement is governed by the laws of Victoria Australia, without regard to conflict of law principles.
14. Changes to This Agreement
We reserve the right to modify this Mentoring Agreement at any time. You will be notified of material changes, and your continued use of the Platform indicates your acceptance of the updated terms.
By registering and participating as a Mentor on Viet Mentor Abroad, you acknowledge that you have read, understood, and agreed to the above terms.
